What to put in a consulting contract?

Here's what I put in my bid proprosals for HR work:
Introduction - overview of project
My Qualifications - brief section listing my experience
Project Items Included in the Contract (i.e. full-cycle recruiting, leadership coaching, employee survey, benefit review etc.)
Items Not Included in the Contract - (i.e. employee event planning, payroll, etc.)
Assumptions - i.e. expenses related to recruiting are paid by the Company, company provides office space and equipment
Fees: fee structure with terms
Conclusion - ask for their business, thanks for the opportunity to bid, etc.

I think you should be documenting under below heads :

1. Tenure of Agreement.
2. Services to be rendered.
3. Indemnity and Limitation of Liability.
4. Records and Retention.
5. Settlement of Disputes.
6. Representations from Firm.
7. SLA TAT's, frequncy of review
8. Review Parameters, Esclation, Panelties.
9. Misc.

And offcourse the language need to be validated by Legal before sign off.
